Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Ascendra Systems website at ascendrasystems.space ("the Site") and any services delivered by Ascendra Systems ("the Services"). By using the Site or engaging us for Services, you agree to these Terms.
1. The Services
Ascendra Systems provides done-for-you CRM, funnel, automation, and AI-assisted messaging systems, primarily built on GoHighLevel and related tools. Specific deliverables, timelines, and fees for each engagement are set out in a separate written scope of work or proposal agreed with the client.
2. Bookings and consultations
The Site allows you to book a free 30-minute consultation. Booked consultations are non-binding and carry no obligation to purchase. You may reschedule or cancel via the confirmation email.
3. Pricing and payment
Pricing displayed on the Site is indicative. Final pricing is confirmed in the proposal before work begins. Unless otherwise agreed in writing:
- A 50% deposit is required to begin the engagement.
- The remaining balance is due upon project completion and handover.
- Invoices unpaid beyond 14 days may result in paused work and loss of priority support.
4. Refunds
Because Ascendra Systems delivers custom, labor-based services, all fees are generally non-refundable once work has begun. Disputes will be handled in good faith and on a case-by-case basis. Specific refund terms may be set out in a signed proposal.
5. Client responsibilities
You agree to:
- Provide accurate, complete, and timely information and access needed to deliver the Services (logins, content, branding, approvals).
- Own or hold rights to all content, media, and materials you provide.
- Use systems we build in compliance with applicable laws, including but not limited to A2P 10DLC, CAN-SPAM, GDPR, CCPA, and TCPA.
- Maintain your own tool subscriptions (GoHighLevel, domain, email, etc.) after handover.
6. Intellectual property
Upon full payment, you own the final funnel, automations, and configurations built specifically for your business. Ascendra Systems retains the right to use reusable templates, frameworks, and underlying methodologies in future engagements. We may reference the engagement (company name, logo, high-level outcomes) in portfolio and marketing materials unless you opt out in writing before signing.
7. Third-party tools
The Services rely on third-party platforms (GoHighLevel, Twilio, Mailgun, Stripe, etc.). Ascendra Systems is not responsible for outages, policy changes, price changes, or data loss originating from those platforms.
8. Warranties and disclaimer
The Site and Services are provided "as is" and "as available" without warranty of any kind, express or implied. Ascendra Systems does not warrant that the Services will meet every business outcome, generate a specific revenue lift, or be uninterrupted or error-free. Any forward-looking statements about hours saved, conversion rates, or go-live timelines are targets, not guarantees.
9. Limitation of liability
To the maximum extent permitted by law, Ascendra Systems' total liability arising from or related to these Terms or the Services is limited to the fees paid by you to Ascendra Systems in the 3 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill.
10. Indemnification
You agree to indemnify and hold Ascendra Systems harmless from claims arising out of (a) your use of the Services, (b) your violation of these Terms, or (c) content or materials you provide to us.
11. Termination
Either party may terminate an engagement for material breach with 14 days' written notice and an opportunity to cure. Upon termination, you pay for work completed through the termination date.
12. Governing law
These Terms are governed by the laws of the jurisdiction in which Ascendra Systems is established, without regard to conflict-of-law provisions. Disputes will be resolved in the courts of that jurisdiction.
13. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date reflects the latest version. Continued use of the Site or Services after updates constitutes acceptance of the revised Terms.
